GoShipped License Agreement

This License Agreement governs the use of the GoShipped software boilerplate and its accompanying source code, documentation and related materials, collectively referred to as the "Product".

The Product is provided by Stetic GmbH, Germany, referred to as "GoShipped", "we", "us" or "our".

By purchasing, downloading, accessing or using the Product, you agree to this License Agreement.

The Product is offered exclusively to businesses and professionals acting in the course of their trade, business or profession. It is not offered to consumers.

1. License Grant

Subject to this Agreement, GoShipped grants you a non exclusive, non transferable license to use and modify the Product.

One license allows you to:

Build an unlimited number of your own products, applications and websites using GoShipped.
Use those products for commercial purposes.
Modify, extend and customize the source code.
Deploy applications built with GoShipped to any hosting provider or infrastructure of your choice.
Use GoShipped for an unlimited number of client projects.
Charge clients for products, applications and services you build using GoShipped.
Allow your employees and contractors to access the source code when reasonably necessary to work on your products or client projects.

There is no limit on the number of products you may build with a valid license.

2. Client Projects

You may use GoShipped to develop products and applications for clients.

You may deliver the resulting application and its source code to your client as part of a completed client project.

A client receiving such source code may use, maintain and further develop that specific application.

However, receiving a client project does not grant the client a separate license to use GoShipped as a boilerplate for unrelated products or projects.

If a client wishes to use GoShipped independently to create additional products, the client must purchase their own GoShipped license.

3. Restrictions

You may not:

Sell, resell, redistribute, publish, share or otherwise make GoShipped available as a standalone boilerplate, starter kit, template or source code product.
Create and distribute a competing boilerplate, starter kit or template that is substantially derived from GoShipped.
Publish the original GoShipped source code, or substantial portions of it, in a public repository or other publicly accessible location.
Share your license or access to the original Product with unrelated individuals or businesses.
Sell, rent, lease, sublicense or transfer your GoShipped license to another person or business without our prior written permission.
Remove or misrepresent copyright, license or proprietary notices contained in the original Product.
Use the Product in violation of applicable laws or third party rights.

These restrictions do not prevent you from building products that provide functionality similar to functionality included in GoShipped.

For example, you are free to build and sell AI applications containing authentication, payments, databases, agents, tools, retrieval, memory or other functionality provided by GoShipped.

The restriction concerns redistribution or commercialization of GoShipped itself as a boilerplate, starter kit, template or substantially equivalent source code product.

4. Ownership

GoShipped and its original source code, documentation, branding and other proprietary materials remain the intellectual property of Stetic GmbH or their respective rights holders.

Purchasing GoShipped grants you the rights described in this Agreement. It does not transfer ownership of GoShipped itself or its intellectual property to you.

You retain ownership of your own code, content, branding and other intellectual property that you create independently or add to your products.

5. Third Party Software

GoShipped uses and may include third party software, libraries, frameworks, APIs and other components.

Third party components remain subject to their respective licenses and terms.

This License Agreement applies only to rights controlled by Stetic GmbH and does not replace, restrict or extend the licenses of third party components.

You are responsible for reviewing and complying with third party licenses and terms applicable to the services, libraries and infrastructure you choose to use in your products.

6. Updates

Your purchase provides access to the version of GoShipped made available to you and any updates we choose to provide under your purchase.

Unless explicitly stated otherwise at the time of purchase, we do not guarantee that any particular feature, integration, update or future version will be provided.

We may modify, replace or discontinue features, integrations, documentation or other parts of GoShipped as the Product evolves.

7. No Guarantee of Results

GoShipped is designed to help developers and businesses build and launch software faster.

We do not guarantee any particular business, technical or financial result from using the Product.

You remain responsible for reviewing, testing, configuring, securing, deploying and operating any application you build using GoShipped.

You are also responsible for ensuring that your application complies with applicable laws, regulations and third party terms.

8. Warranty

GoShipped is software and may contain errors, bugs or incompatibilities.

We do not warrant that the Product will operate without interruption or error, that it will meet every particular requirement or use case, or that it will remain compatible with every third party service or dependency.

Any mandatory statutory warranty rights that cannot legally be excluded or limited remain unaffected.

9. Liability

Stetic GmbH is liable without limitation for damages caused intentionally or by gross negligence, as well as for damages resulting from injury to life, body or health.

In cases of slight negligence, Stetic GmbH is liable only for breaches of essential contractual obligations whose fulfillment is necessary for the proper performance of this Agreement and on whose fulfillment you may reasonably rely. In such cases, liability is limited to the damage that was foreseeable and typical for this type of agreement at the time the agreement was concluded.

Any mandatory liability under applicable law remains unaffected.

To the extent permitted by law, Stetic GmbH is not responsible for failures, changes, outages, security incidents or other issues caused by third party services, infrastructure, APIs, libraries or software that are outside our reasonable control.

10. Termination

Your license remains valid unless terminated under this Agreement.

If you materially violate this Agreement, particularly by redistributing, reselling or publicly publishing GoShipped in violation of the license restrictions, we may terminate your license.

Where appropriate and reasonably possible, we will give you an opportunity to remedy the violation before termination.

Upon termination, you must stop using and distributing the original GoShipped source code.

Termination does not affect any rights or obligations that by their nature should survive termination.

11. Governing Law

This Agreement is governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods, to the extent applicable.

Where legally permissible, the courts at the registered office of Stetic GmbH shall have jurisdiction over disputes arising from or relating to this Agreement.

12. Changes to this Agreement

We may update this License Agreement for future purchases or future versions of GoShipped.

The license terms applicable to your purchase will not be materially reduced retroactively solely because we publish a newer version of this Agreement, unless a change is required by law or agreed with you.

13. Entire Agreement

This License Agreement, together with the applicable Terms of Service and the information presented at the time of purchase, constitutes the agreement regarding your license to use GoShipped.

In the event of a conflict specifically concerning your rights to use the GoShipped source code, this License Agreement takes precedence over the general Terms of Service.
