GoShipped Terms of Service

These Terms of Service govern the purchase and use of GoShipped, a software boilerplate provided by Stetic GmbH, Germany.
By purchasing, accessing or using GoShipped, you agree to these Terms of Service.
1. About GoShipped
GoShipped is a software boilerplate designed to help developers and businesses build and launch AI powered software products.
It includes source code, configuration, documentation and integrations intended to provide a production ready starting point for building software applications.
GoShipped is not a hosted SaaS platform. You receive access to source code that you can configure, modify and deploy for your own products and client projects in accordance with the GoShipped License Agreement.
2. Business Customers Only
GoShipped is offered exclusively to entrepreneurs, businesses, companies and professionals purchasing the Product for purposes related to their trade, business or profession.
GoShipped is not offered to consumers.
By purchasing GoShipped, you represent that you are acting in the course of your commercial, business or independent professional activity and not primarily for personal purposes.
If you purchase on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

4. Purchase and Contract Formation
The presentation of GoShipped on our website does not constitute a binding offer unless expressly stated otherwise.
By completing the checkout process and submitting your order, you submit an offer to purchase GoShipped under the terms displayed at checkout.
The contract is concluded when we accept your order by providing access to the Product or by sending you an order or purchase confirmation.
We reserve the right to reject or cancel an order where reasonably necessary, including in cases of suspected fraud, payment failure, pricing errors, technical errors or suspected misuse.
If we cancel an order after payment without providing the Product, the amount paid to us will be refunded.
5. Price and Payment
The price applicable to your purchase is the price displayed at checkout at the time you place your order.
Unless explicitly stated otherwise, GoShipped is sold as a one time purchase and does not automatically renew.
Prices are displayed together with any applicable information regarding taxes at checkout.
Payments are processed through third party payment providers, including Stripe.
You are responsible for providing accurate and complete billing information.
Any fees charged by your bank, card issuer, payment provider or other third party are your responsibility.
6. Taxes
Prices may be subject to VAT, sales tax or other applicable taxes depending on your location, business status and the information provided during checkout.
You are responsible for providing accurate tax and business information where requested.
Where applicable, taxes will be calculated and displayed during checkout.
You remain responsible for taxes, duties or similar charges that applicable law requires you to pay directly.
7. Delivery and Access
GoShipped is delivered digitally.
After successful payment and acceptance of your order, you will receive access to the Product or instructions for accessing it.
Delivery may take place through a private source code repository, download, customer area, email or another method made available by us.
You are responsible for providing a valid email address and maintaining access to any account or service required to receive the Product.
If you do not receive access within a reasonable period after successful payment, please contact us.
8. License
Your use of GoShipped is governed by the separate GoShipped License Agreement available on our website.
The License Agreement defines what you may and may not do with the GoShipped source code.
Unless stated otherwise, a valid purchase allows you to use GoShipped for an unlimited number of your own commercial products and client projects subject to the restrictions in the License Agreement.
In the event of a conflict concerning your rights to use, modify or distribute the GoShipped source code, the License Agreement takes precedence over these Terms.
9. Updates
Your purchase gives you access to the version of GoShipped provided at the time of purchase.
We may also provide improvements, fixes, new features, documentation updates and other updates.
Unless explicitly promised as part of your purchase, future updates, features and integrations are provided at our discretion and are not guaranteed.
We may change or discontinue particular features, integrations or dependencies as GoShipped evolves.
Third party services and dependencies may also change independently of us.
10. Support
Unless explicitly included in the offer at the time of purchase, your purchase does not include any guaranteed response time, service level agreement, consulting, implementation work or custom development.
We may provide documentation, updates and reasonable support channels to help customers use GoShipped.
The scope and availability of voluntary support may change over time.
11. Third Party Services
GoShipped integrates with or relies on third party software, libraries, APIs, hosting providers and other services.
Examples may include payment providers, database services, hosting platforms, AI providers and open source software.
These third party services are not operated by Stetic GmbH unless expressly stated otherwise.
You may need separate accounts, subscriptions, API keys or agreements with third party providers to use certain functionality.
Any third party fees are your responsibility unless expressly stated otherwise.
Third party services are governed by their own terms, privacy policies and licenses.
We are not responsible for changes, outages, discontinuation, pricing changes or other actions of third party providers outside our reasonable control.
12. Your Responsibilities
You are responsible for how you configure, modify, deploy and operate applications built with GoShipped.
In particular, you are responsible for:
- reviewing and testing your application before deploying it;
- configuring security, authentication, permissions and infrastructure appropriately;
- protecting credentials, API keys and other secrets;
- complying with applicable laws and regulations;
- providing any privacy policies, terms, notices or consent mechanisms required for your own application;
- complying with the terms and licenses of third party services you use;
- monitoring and maintaining your deployed application;
- implementing appropriate backups, security measures and operational procedures.
GoShipped provides a starting point for building software. It does not replace your responsibility for reviewing and operating the software you deploy.
13. AI Functionality
GoShipped may include functionality or integrations designed for use with artificial intelligence models and services.
AI generated output may be inaccurate, incomplete, unexpected or unsuitable for a particular purpose.
You are responsible for determining whether AI generated output is appropriate for your application and for implementing any review, moderation, safeguards or human oversight appropriate to your use case.
We do not guarantee the availability, performance, pricing, behavior or output of third party AI providers.
14. Prohibited Use
You may not use GoShipped:
- in violation of applicable law;
- to infringe intellectual property, privacy or other rights of third parties;
- to gain unauthorized access to systems, accounts or data;
- to intentionally distribute malicious software;
- to interfere with or compromise the security or operation of GoShipped or systems used to provide access to it;
- in violation of the restrictions contained in the GoShipped License Agreement.
15. Refunds
Because GoShipped is a digital source code product that is made available after purchase, purchases are generally final once access to the Product has been provided.
We do not offer refunds merely because you change your mind, decide not to use the Product, lack the technical knowledge required to use it, or discover that a particular third party service does not meet your needs.
This does not affect any mandatory rights or remedies available to you under applicable law.
If you experience a material problem with the Product, cannot access your purchase, or believe that GoShipped materially differs from what was offered at the time of purchase, please contact us so that we can investigate the issue and, where appropriate, provide a remedy.
Any voluntary refund or goodwill payment made by us in an individual case does not create an obligation to provide the same remedy in other cases.
16. Intellectual Property
GoShipped, including its original source code, documentation, website content, branding and other proprietary materials, is protected by applicable intellectual property laws.
Purchasing GoShipped does not transfer ownership of GoShipped or its intellectual property to you.
Your rights to use the source code are defined by the GoShipped License Agreement.
Third party components remain subject to their respective licenses.
17. Product Changes and Availability
We may improve, modify or discontinue GoShipped or parts of it over time.
We do not guarantee that GoShipped will remain compatible indefinitely with every operating system, framework, dependency, API, hosting provider or third party service.
This does not affect contractual obligations already owed to you or mandatory rights that cannot legally be excluded.
18. No Guarantee of Business Results
GoShipped is intended to reduce the amount of foundational development work required to build software products.
Statements regarding development speed, time savings, production readiness or similar benefits describe the intended purpose and capabilities of the Product and are not guarantees that every customer will achieve a particular result within a particular period.
Your actual results depend on factors including your requirements, technical experience, modifications, infrastructure and third party services.
We do not guarantee revenue, customers, profitability, business success or any other commercial result.
19. Warranty
We aim to provide GoShipped in the condition and with the functionality described at the time of purchase.
Software may nevertheless contain errors, bugs or incompatibilities.
We do not guarantee that GoShipped will be completely error free, operate without interruption or satisfy every individual technical requirement.
Mandatory statutory warranty rights remain unaffected.
20. Liability
Stetic GmbH is liable without limitation for damages caused intentionally or by gross negligence and for damages resulting from injury to life, body or health.
In cases of slight negligence, Stetic GmbH is liable only for breaches of essential contractual obligations whose fulfillment is necessary for the proper performance of the contract and on whose fulfillment you may reasonably rely.
In such cases, liability is limited to foreseeable damage typical for this type of contract at the time the contract was concluded.
Any mandatory liability under applicable law remains unaffected.
To the extent permitted by law, Stetic GmbH is not responsible for failures, outages, security incidents, changes or other problems caused by third party services, software or infrastructure outside our reasonable control.
21. Termination and License Violations
Your rights to use GoShipped are subject to compliance with these Terms and the GoShipped License Agreement.
In the event of a material violation, particularly unauthorized redistribution, resale or publication of GoShipped, we may suspend access to future downloads or updates and, where legally permissible, terminate your license.
Where appropriate and reasonably possible, we will provide an opportunity to remedy the violation before termination.
Termination does not affect claims or obligations that arose before termination or provisions intended to survive termination.
22. Changes to These Terms
We may update these Terms from time to time to reflect changes to GoShipped, our business or applicable law.
Changes generally apply to future purchases from the effective date of the updated Terms.
We will not materially reduce rights already granted for an existing purchase solely by publishing new Terms, unless required by law or agreed with you.
23. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods, to the extent applicable.
Where legally permissible, the courts at the registered office of Stetic GmbH shall have jurisdiction over disputes arising from or relating to these Terms.
24. Severability
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected.
The invalid or unenforceable provision shall be replaced by the applicable statutory provision.
